7. Payment Terms

Payment terms for our services are as follows, unless otherwise agreed in writing:

• All fees, milestones, and payment schedules will be clearly stated in the project proposal or Statement of Work before work begins.
• Invoices are due within 15 days of the invoice date unless otherwise specified.
• All prices are quoted in Indian Rupees (INR) unless otherwise stated. Applicable taxes (including GST) will be added as per prevailing rates.
• Late payments may attract interest at 1.5% per month on the outstanding amount.
• We reserve the right to pause work on a project if payments are overdue by more than 30 days.

8. Warranties & Disclaimers

Website: This website is provided on an “as is” and “as available” basis. We make reasonable efforts to keep it accurate and up to date, but we do not guarantee that it will be error-free, uninterrupted, or free of viruses.

Services: We will perform all services with reasonable skill and care, in accordance with the specifications agreed in the project proposal. If any deliverable does not meet the agreed specifications, we will correct it at no additional cost within a reasonable timeframe.

We do not warrant that our software will be completely free of defects. However, we offer post-launch support and warranty periods as defined in individual project agreements.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• TantraDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or services.
• Our total liability for any claim arising from a service engagement shall not exceed the total fees paid by you to us for that specific engagement in the 12 months preceding the claim.
• We are not liable for any loss or damage caused by events beyond our reasonable control (force majeure), including but not limited to natural disasters, internet outages, government actions, or pandemics.

10. Termination

Website access: We reserve the right to restrict or terminate your access to this website at any time if we reasonably believe you are violating these Terms.

Service engagements: Either party may terminate a service engagement in accordance with the termination provisions set out in the applicable project agreement. In the absence of specific provisions, either party may terminate by providing 30 days' written notice.

Upon termination of a service engagement, you will be invoiced for all work completed up to the date of termination, and any deliverables completed will be handed over subject to payment of outstanding fees.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
